Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to use the Software on devices you own or control, subject to these Terms. This license is for personal or internal business use only.
The "Lifetime License" grants you:
- Perpetual access to the Software
- All future updates and new features at no additional cost
- Use on multiple personal devices owned by the licensee
3. Product Description
OmniFile is a desktop application for Windows that provides:
- Local file search and indexing across your computer
- Integration with cloud storage services (Google Drive)
- Custom workspace and filter functionality
- Keyboard-driven navigation and quick actions
System Requirements: Windows 10 or later (64-bit)
Delivery: Digital download immediately available after purchase confirmation
4. Restrictions
You may not:
- Copy, modify, or distribute the Software
- Reverse engineer, decompile, or disassemble the Software
- Rent, lease, lend, sell, or sublicense the Software
- Remove any proprietary notices or labels on the Software
- Use the Software for any unlawful purpose
5. Intellectual Property
The Software and all copies thereof are proprietary to TOUEI TATEMONO CO., LTD. and title thereto remains in us. All rights in the Software not specifically granted in this license are reserved to us.
6. Third-Party Services
The Software may integrate with third-party services such as Google Drive. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or functionality of third-party services.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
We do not warrant that:
- The Software will meet your specific requirements
- The Software will be uninterrupted, timely, secure, or error-free
- The results obtained from the use of the Software will be accurate or reliable
- Any errors in the Software will be corrected
8. Limitation of Liability
Data Loss Disclaimer: We shall not be liable for any loss of data, corruption of files, or damage to your computer system arising from the use of the Software. You are solely responsible for maintaining backups of your important files.
In no event shall TOUEI TATEMONO CO., LTD., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Software
- Any conduct or content of any third party related to the Software
- Unauthorized access, use, or alteration of your data
Our total liability shall not exceed the amount you paid for the Software.
9. Termination
This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Tokyo, Japan.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on our website. Your continued use of the Software after such modifications constitutes your acceptance of the updated Terms.
Privacy Policy
Privacy-First Design: All file indexes are stored locally on your device. No user file data is transmitted to our servers. Your files and their contents remain completely private.
1. Information We Do NOT Collect
OmniFile is designed with privacy as a core principle. We do not collect, store, or transmit:
- Your file names, paths, or contents
- Your search queries
- Your file index data
- Any personal files or documents
All file indexing and search operations are performed entirely on your local device.
2. Information We May Collect
We may collect minimal information for the following purposes:
- License Verification: We may verify your license key to confirm your purchase. This does not include any file data.
- Crash Reports (Optional): If you opt-in, anonymous crash reports may be sent to help us improve the Software. These reports do not contain personal file information.
- Update Checks: The Software may periodically check for updates, which involves contacting our servers.
3. Third-Party Services
When you connect cloud storage services (such as Google Drive) to OmniFile:
- Authentication is handled directly between you and the service provider (e.g., Google)
- We use OAuth 2.0 for secure authentication
- Access tokens are stored locally on your device
- We access your cloud files only to provide search functionality
- Your cloud file data is processed locally and is not transmitted to our servers

4. Payment Processing
All payments are processed by Paddle.com, our Merchant of Record. We do not have access to your payment card details. Please refer to Paddle's Privacy Policy for information on how they handle your payment data.
5. Data Storage and Security
All data generated by OmniFile (including file indexes, settings, and preferences) is stored locally on your device in encrypted form where appropriate. We recommend:
- Keeping your operating system and the Software up to date
- Using device encryption features provided by your operating system
- Maintaining secure access to your computer
6. Your Rights (GDPR)
For users in the European Union, you have the following rights:
- Right of Access: Request information about data we hold about you
- Right to Rectification: Request correction of inaccurate data
- Right to Erasure: Request deletion of your data
- Right to Data Portability: Request a copy of your data in a portable format
- Right to Object: Object to processing of your data
Since OmniFile stores data locally and we do not collect personal file data, most of these rights can be exercised by simply uninstalling the Software and deleting local data.
7. Children's Privacy
The Software is not intended for use by children under 13. We do not knowingly collect personal information from children under 13.
8. Changes to Privacy Policy
We may update this Privacy Policy from time to time. We will notify you of any changes by posting the new Privacy Policy on this page and updating the "Last updated" date.

3. Refund Processing
Refunds are processed by Paddle.com, our Merchant of Record. Once approved:

- The refund will be credited to the original payment method
- You may see "Paddle.com" on your statement for the refund
4. EU Consumer Rights
If you are a consumer in the European Union, you have the right to cancel your purchase within 14 days without giving any reason, in accordance with EU consumer protection laws. This right is in addition to our 60-day money-back guarantee.
To exercise your cancellation right, you must inform us of your decision before the expiration of the 14-day period. Note that for digital content, by downloading or otherwise acquiring the Software, you consent to immediate performance and acknowledge that you may lose your right of withdrawal once the download has begun, unless the Software does not meet your expectations.
5. Post-Refund
After a refund is processed:

- You should uninstall the Software from your devices
- You will no longer be entitled to updates or support
6. Exceptions

- Multiple refund requests from the same individual
